Buyer Search Agreement
Effective August 30, 2026
This agreement governs a paid commercial-equipment search performed by Cosagon for the buyer identified in a written search confirmation. Submitting an equipment request alone does not start a paid search or create an obligation to proceed.
1. Search confirmation and acceptance
Before work begins, Cosagon and the buyer will confirm the search in writing. That search confirmation should identify the buyer, equipment requirement, agreed documentary criteria, search start date, delivery location, fees, payment timing, and any expressly agreed variation from the cancellation and refund terms below.
A paid search begins only when Cosagon confirms commencement in writing and receives the $500 start fee. By accepting the search confirmation and paying the start fee, the buyer agrees to this agreement. If this agreement conflicts with an expressly stated term in the search confirmation, the search confirmation controls for that search.
2. Search service
Cosagon will conduct a defined 30-day market search using the technical, geographic, condition, documentation, timing, and commercial criteria agreed with the buyer. Cosagon may review public listings, dealer or seller information, documents, photographs, records, estimates, and other information reasonably available during the search.
3. Fees
- Start fee: A $500 start fee is required before the agreed 30-day search begins.
- Result fee: One $750 result fee is due if Cosagon presents one or more candidates that pass the agreed documentary search criteria based on the information available for review.
- Cancellation before commencement: If the buyer cancels before Cosagon confirms commencement in writing, any start fee paid will be refunded in full.
- Cancellation after commencement: Once Cosagon confirms commencement and begins work, the $500 start fee is non-refundable.
- No qualifying candidate: If no reviewed machine passes the agreed criteria, no result fee is due. Cosagon will provide a search summary and continue monitoring for an additional 30 days.
Payment timing, methods, taxes on Cosagon’s services, and any expressly agreed variation from these default terms will be stated in the search confirmation or invoice before the search begins.
4. Documentary criteria
A candidate passes the search criteria when the information available for review supports the agreed requirements at the documentary-search stage. A candidate file may distinguish documents, photographs, seller statements, estimates, partial records, and unresolved matters. Presentation of a candidate is not a certification or recommendation to purchase.
5. Out of scope
Cosagon does not inspect, appraise, certify, possess, sell, finance, insure, ship, or take title to equipment. Cosagon does not verify meter accuracy, physical condition, safety, regulatory compliance, ownership, liens, taxes, or fitness for the buyer’s intended use.
The buyer is responsible for deciding whether to proceed and for arranging qualified independent inspection, appraisal, lien or title review, legal and tax advice, financing, insurance, escrow, transportation, and any other professional review appropriate to the transaction.
6. Direct transaction
The buyer purchases directly from the seller. Buyer and seller negotiate price and terms, enter any purchase contract, transfer funds, arrange delivery, and resolve transaction issues directly or through qualified independent parties. Cosagon does not hold purchase funds and is not a party to the equipment sale.
7. Third-party information and services
Candidate information may come from sellers, dealers, marketplaces, public records, freight providers, inspectors, and other third parties. Cosagon organizes available information but does not control or guarantee third-party statements, documents, availability, pricing, conduct, or services. The buyer is responsible for independently confirming information material to a purchase decision.
8. No guaranteed outcome
Cosagon does not guarantee that a qualifying candidate will be found, remain available, pass inspection, satisfy requirements not included in the agreed criteria, or result in a completed purchase. Market availability, seller conduct, pricing, and third-party services are outside Cosagon’s control.
9. Buyer information and cooperation
The buyer will provide accurate requirements, timely decisions, and information reasonably needed to perform the search. Delays or changes requested by the buyer may affect timing, available candidates, and search scope. Personal information is handled as described in the Privacy Policy.
10. Limitation of responsibility
To the maximum extent permitted by law, Cosagon is not responsible for a buyer’s purchase decision; equipment condition, defects, ownership, liens, or suitability; seller acts or omissions; or the performance of inspectors, carriers, escrow providers, lenders, advisers, or other third parties. Cosagon is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from a search or equipment transaction.
11. Changes and complete agreement
The version of this agreement linked in the accepted search confirmation applies to that search unless both parties agree otherwise in writing. This agreement and the search confirmation form the complete agreement for the search and replace prior discussions about the same search.
